Chia Friends™ NFT Sweepstakes Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. Void where prohibited by law. Subject to all federal, state and local laws, regulations, and ordinances of the Unites States. Sweepstakes begins on June 29, 2022 and ends on June 30, 2022 at 11:59pm UTC (the “Sweepstakes Period”).

Eligibility

The Chia Friends™ NFT Sweepstakes (the “Sweepstakes”) is open to individuals who are of legal age of majority in their country and state of residence at the time of entry. Employees of Sponsor and other companies associated with the promotion of the Sweepstakes, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. By entering the Sweepstakes, you confirm you are not legally prohibited from doing so in your country of residence. Participation constitutes your full and unconditional agreement to the Official Rules of the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify the eligibility of winners. All participants will be required to have a new or existing valid non-fungible token (“NFT”) wallet to receive their prize, and agree to any applicable user agreement, terms of use and/or privacy policy thereof.

How to Enter

If you already have a wallet, visit chiafriends.xyz during the Sweepstakes Period to enter and submit your wallet address for a chance to win. If you do not have a wallet, visit chia.net to download Chia 1.4 on a desktop computer and create a wallet. “Wallet Mode” is the easiest way to get started if you’re new. Once your Chia wallet is open, click on “NFTs” and copy your wallet address at the top right. Note your wallet address is different from the “Wallet Number” on the upper left. Then visit chiafriends.xyz during the Sweepstakes Period to enter and submit your wallet address for a chance to win. One entry limit per person/wallet. Proof of submission does not constitute proof of delivery.

To keep things fair, Sponsor cannot accept entries generated by script, macro, or other automated means or by means that subvert the entry process outlined in the Official Rules; all such entries are void. Multiple participants are not permitted to share the same wallet address. In the event of a dispute as to any entry, the authorized account holder of the wallet address used to enter the Sweepstakes will be deemed to be the winner. Entries that are incomplete, illegible, corrupted, false, lost, late or misdirected, deceptive, or otherwise not in compliance with the Official Rules may be disqualified from the Sweepstakes at Sponsor’s sole and absolute discretion.

Prizes

The prizes are NFTs from the Chia Friends™ NFT collection. To commemorate the launch of the NFT1 standard, Chia Network Inc. created a limited edition set of 10,000 unique and procedurally generated profile picture (PFPs) NFTs, Chia Friends™ NFTs, to be randomly distributed to participating community members’ wallets by July 2, 2022 11:59pm UTC. The license to the NFT will grant each winner the right to access and display the NFT media; however, the license will not confer on the winner any intellectual property ownership rights in or to the NFT, nor the right receive any royalty payments in connection with the NFT prize. Odds of winning depend on the number of eligible entries received during the Sweepstakes Period.

Privacy

The administration and fulfillment of the Sweepstakes as described in these Official Rules is conducted in accordance with Sponsor’s Privacy Policy, available at https://www.chia.net/privacy/.

Release and Limitation of Liability

By participating in Sweepstakes, you agree that Sponsor and its affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives and agents (the “Released Parties”) are not responsible for: (1) incorrect or inaccurate information, whether caused by you or by any equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to alterations, malfunctions, interruptions, cyber-attacks, hacks, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) any claims based on obtaining, accessing, using, trading, storing, and selling NFTs; and (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Sweepstakes, the receipt or use or misuse of NFTs, or if due to any legal or regulatory action related to NFTs the Sweepstakes can no longer continue as planned. No more than the stated number of NFTs will be awarded. In event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. Sponsor reserves the right to cancel or modify this Sweepstakes in a manner deemed appropriate by the Sponsor, in the Sponsor’s sole discretion. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right, in its sole discretion, to suspend, modify or terminate the Sweepstakes, and select the winners from entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. By entering the Sweepstakes, you waive all right to, and hold harmless the Released Parties from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with, directly or indirectly, their participation in this Sweepstakes or the acceptance, use, or misuse of any prize. You agree to bear all risk of loss or damage to the your prize after it has been delivered. All prizes are provided “as is.” SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

Disputes

You agree that any and all matters arising out of or relating to this Sweepstakes and these Official Rules are (1) governed by, and construed in accordance with, the laws of California, without giving effect to any conflict of law provisions thereof; (2) shall be resolved individually, without resort to any form of class action, solely and exclusively in a federal or state court located in California. You submit to sole and exclusive personal jurisdiction to federal and state courts in the State of California for any matter and irrevocably waive all rights to object, challenge, dismiss or transfer such action based on inconvenience of forum or any other reason.

Disclosure

NFTS ARE SUBJECT TO AN UNCERTAIN TECHNICAL AND LEGAL ENVIRONMENT. SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES AS TO (I) THE PRIZE WINNER’S FUTURE TECHNICAL ABILITY TO ACCESS, DISPLAY, CUSTODY OR TRANSFER THE NFT DIGITAL TOKEN AND ANY ASSOCIATED DIGITAL MEDIA; OR (II) THE PRIZE WINNER’S FUTURE ABILITY TO ACCESS, DISPLAY, CUSTODY OR TRANSFER THE NFT DIGITAL TOKEN AND ANY ASSOCIATED DIGITAL MEDIA IN COMPLIANCE WITH U.S. LAWS AND REGULATIONS. PRIZE WINNERS THAT PURCHASE THE NFT HEREBY WAIVE ANY AND ALL LEGAL CLAIMS, RIGHTS OR REMEDIES AGAINST SPONSOR ARISING OUT OF THE PRIZE WINNER’S RECEIPT OF OR ABILITY TO ACCESS, DISPLAY, CUSTODY OR TRANSFER THE NFT DIGITAL TOKEN AND ANY ASSOCIATED DIGITAL MEDIA. THE VALUE OF NFTS IS SUBJECT TO CHANGE. IT CAN GO UP AND DOWN; THERE IS A SUBSTANTIAL RISK THAT IT COULD LOSE VALUE (POSSIBLY ALL VALUE) AS A RESULT OF MARKET DEVELOPMENTS, LEGAL AND REGULATORY DEVELOPMENTS, OR OTHER FACTORS AFFECTING NON-FUNGIBLE TOKENS.
